Terms and Conditions
Article 1. Application and Approval
To participate in the Program, a business must register its store name, address, representative's name, sales channels, and any other information the Company specifies. The Company will review each application and grant reseller status to approved businesses.
Article 2. Coupon Terms
Coupon codes issued by the Company may be used only by approved resellers. Resellers may not transfer, share, publicly disclose, or post coupon codes to third parties, including on social media. The Company sets the minimum order amount, expiration date, usage limits, and other conditions separately. The Company may also deactivate a coupon code that has not been used for an extended period.
Article 3. Orders and Payment
Orders must be placed through the Company's website. Payment must be made using a payment method specified by the Company. Cancellations after an order is confirmed are subject to the conditions the Company sets separately.
Article 4. Shipping
Lead times, shipping fees, and other delivery conditions are set separately by the Company. Shipping dates may change due to stock availability, weather, carrier conditions, or other causes beyond the Company's control.
Article 5. Sales Channel Restrictions
Resellers may sell only through the physical stores and the e-commerce sites they operate that were registered at the time of application. Listing or selling on Amazon, eBay, Walmart Marketplace, Facebook Marketplace, TikTok Shop, or any other third-party marketplace is prohibited. To sell through a channel not registered at the time of application, the reseller must first obtain the Company's approval.
Article 6. No Resale or Redistribution
Resellers may not sell purchased products to other businesses, resellers, wholesalers, or any third party for the purpose of wholesale, redistribution, or resale.
Article 7. Returns and Defects
If a product has a manufacturing defect, the reseller must contact the Company within 7days of receiving it and include supporting materials such as photos. If the Company confirms the defect, it will offer an exchange or refund. Personalized, special-order, and other custom products may not be returned or exchanged except for manufacturing defects.
Article 8. Intellectual Property
The Company's trademarks, logos, product images, videos, and other intellectual property may be used only to promote sales on registered sales channels. Resellers may not modify, redistribute, or otherwise use them in any manner the Company considers inappropriate without the Company's prior approval.
Article 9. Remedies for Breach
If the Company identifies a breach of these Terms, conduct that harms the brand's value, or any other conduct it considers inappropriate, the Company may suspend coupon codes, suspend transactions, or revoke reseller status without prior notice.
Article 10. Term
Reseller status is valid for one year and renews automatically unless either the Company or the reseller gives notice of termination.
Article 11. Right to Revoke Approval
The Company reserves the right, at its sole discretion, to refuse an application to join the Program, suspend approval, or revoke reseller status.
Article 12. Limitation of Liability
The Company is not liable for any indirect, special, incidental, or consequential damages, or lost profits, arising in connection with participation in the Program or the sale of products.
Article 13. Governing Law
These Terms are governed by and construed in accordance with the laws of Japan.
